1. Scope
These Terms apply to all offers, quotes and contracts between Shelax IT Services OÜ, Paavli tn 5a/1, 10412 Tallinn, Estonia (registry code 16518153, VAT ID EE102505623) (“Seller”) and the customer (“Buyer”) concluded via superpreisse.com or by e-mail. Deviating terms of the Buyer do not apply unless we confirm them in writing. Special provisions for consumers (natural persons acting outside their trade or profession) are marked as such.
2. Products
We sell new and used (pre-owned) laboratory, medical and IT equipment. The condition of each item is stated in the product description (“new”, “used – tested”, “for parts”). Photos show the actual item unless stated otherwise. Unless expressly stated, products are supplied without consumables, reagents, software licences or installation. Brand names are used only to identify the products.
3. Conclusion of contract
Quote mode: product presentations marked “Request a quote” or “Price on request” are not binding offers. After your request we send a written offer (incl. shipping, taxes and delivery time). The contract is concluded when you accept the offer in writing (e-mail) or pay the pro-forma invoice.
Buy-now mode: by clicking the order button you make a binding offer. We confirm receipt by e-mail; the contract is concluded with our order confirmation or dispatch of the goods.
4. Prices and taxes
Prices are in EUR. For business customers (B2B) prices are net; VAT is added where applicable. Deliveries to VAT-registered businesses in other EU member states are zero-rated as intra-Community supplies (reverse charge) provided a valid VAT ID is given; exports outside the EU are zero-rated. For consumers in the EU the price shown includes the VAT of the country of delivery (EU One-Stop-Shop). For deliveries outside the EU the Buyer bears import duties, customs fees and import VAT of the destination country.
5. Payment
Unless agreed otherwise, payment is by advance bank transfer (SEPA / SWIFT) to the account stated on the invoice. Goods are dispatched after receipt of the full amount. Other payment methods may be offered at checkout. Bank charges outside the SEPA area are borne by the Buyer.
6. Delivery
We ship EU-wide and worldwide from our logistics hub in Western Europe. Delivery times stated in the offer are estimates. Large items are shipped on pallets by freight forwarder; the Buyer must be able to receive a pallet delivery (kerbside) or arrange collection. Risk of loss passes to a business Buyer when the goods are handed to the carrier; for consumers, when the goods are delivered. Please inspect shipments on arrival and note any transport damage on the carrier’s delivery note and inform us within 3 days.
7. Retention of title
Goods remain our property until full payment has been received.
8. Warranty and liability for defects
Business customers: used goods are sold as described; any warranty for used goods is excluded unless a warranty period is expressly stated in the offer. For new goods the statutory warranty period applies. Obvious defects must be reported in writing within 7 days of delivery.
Consumers: the statutory rights under the EU Sale of Goods Directive apply. For used goods the limitation period is reduced to one year from delivery, as permitted by law. Claims are not affected where defects were fraudulently concealed.
Our liability for damages is limited to intent and gross negligence, except for injury to life, body or health and for claims under mandatory product liability law. We are not liable for indirect or consequential damages (loss of production, loss of data, loss of profit) towards business customers.
9. Right of withdrawal (consumers only)
Consumers in the EU have a 14-day right of withdrawal. Details and the model withdrawal form are in our Withdrawal policy. Business customers have no right of return unless agreed in writing.
10. Export control and regulatory compliance
Some laboratory and medical devices are subject to export control or medical-device regulations. The Buyer is responsible for ensuring that import, registration and use of the equipment are permitted in the destination country. We may refuse an order if a delivery would breach EU sanctions or export rules.
11. Data protection
We process personal data as described in our Privacy policy.
12. Governing law and jurisdiction
The laws of the Republic of Estonia apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, the mandatory consumer protection provisions of their country of habitual residence remain unaffected. For business customers the courts of Harju County, Estonia, have exclusive jurisdiction.
13. Final provisions
If any provision is invalid, the remaining provisions remain in force. Contract language: English.
